Oil and Natural Gas Corporation Ltd (ONGC), Mangalore Refinery and Petrochemicals Ltd (MRPL) and ONGC Petro additions Ltd (OPaL) have incorporated a joint venture company, ONGC Petrochemicals Marketing Ltd (OPML), to establish an integrated platform for marketing and trading petrochemicals, chemicals and related products of the ONGC Group. OPML was incorporated as a public limited company on October 7, 2026, with ONGC, MRPL and OPaL holding equity stakes of 50 per cent, 25 per cent and 25 per cent, respectively.
The joint venture is intended to consolidate the group's petrochemical marketing activities and establish a unified, market-facing platform for branding, business development, pricing, distribution, logistics, customer management and trading operations. MRPL, which informed the stock exchanges about the formation of the joint venture, said its investment, together with its nominee shareholders, amounts to Rs 12.5 crore. The subscription comprises 1.25 crore equity shares with a face value of Rs 10 each, representing 25 per cent of OPML's paid-up equity share capital.
OPML.pngAuthorised share capitalThe equity shares have been subscribed at face value, with the transaction conducted on an arm's-length basis. The investment has been made through cash consideration by subscribing to the company's equity shares. OPML has an authorised and subscribed share capital of Rs 50 crore, divided into five crore equity shares of Rs 10 each. As the company was incorporated only on October 7, it has no operating turnover history for the preceding three financial years. Its financial performance and contribution to the group's business will become clearer as it commences and develops its operations.
The establishment of OPML represents an organisational initiative to bring the ONGC Group's petrochemical marketing and trading activities under a dedicated corporate entity. Its mandate extends beyond product sales to cover a range of commercial functions, including sourcing and trading, pricing, distribution, logistics, storage, customer management and sales and operations planning. By creating a common marketing platform, the group intends to coordinate activities across its existing downstream and petrochemicals businesses.
Integrated structureThe integrated structure is designed to provide a common interface for customers and facilitate coordination of commercial functions across the product portfolio. The proposed platform will undertake branding and business development activities alongside marketing and trading. These functions are relevant to the commercialisation of petrochemical products, where pricing, product availability, distribution arrangements and customer relationships form important parts of the supply chain. OPML's mandate also includes sales and operations planning, linking commercial requirements with the planning of product sourcing, distribution and sales.
The joint venture brings together three companies with interests in the ONGC Group's energy and petrochemical value chain. ONGC will hold the majority stake of 50 per cent, while MRPL and OPaL will each hold 25 per cent. The ownership structure gives ONGC the largest equity interest, with the two other group companies participating as equal minority shareholders. For MRPL, the investment involves a cash subscription of Rs 12.5 crore for 25 per cent of OPML's paid-up equity capital, held together with its nominee shareholders.
Joint venture typeThe transaction forms part of the establishment of the joint venture rather than the acquisition of an existing operating business. Consequently, OPML has no historical turnover against which its initial operating performance can be assessed. The company's business scope includes integrated marketing and trading of petrochemicals, chemicals and kindred products, along with related commercial activities. These include sourcing, pricing, branding, distribution, logistics, storage, customer management and business development.
The range of activities provides for a centralised approach to managing the movement of products from sourcing to customer delivery, although the company's actual operating arrangements and business volumes will depend on its subsequent implementation. The formation of OPML is aligned with the existing downstream and petrochemicals businesses of ONGC Group companies. A dedicated marketing entity could provide a common structure for engaging customers, developing markets and coordinating sales activities across the group's product offerings. However, the company has only just been incorporated, and no financial results or operating track record are available to establish the extent of any benefits.
Regulatory clearancesThe Department of Investment and Public Asset Management (DIPAM), under the Ministry of Finance, granted the required approval for the transaction. The Registrar of Companies under the Ministry of Corporate Affairs issued the certificate of incorporation on October 7, 2026, completing the formal establishment of the public limited company. OPML will operate in India and focus on the integrated marketing and trading of petrochemicals, chemicals and related products.
Its proposed activities cover several stages of the commercial supply chain, including business development, sourcing, pricing, distribution, logistics and customer engagement. The incorporation marks the creation of a dedicated marketing platform within the ONGC Group's existing downstream and petrochemicals businesses. The company's future role will depend on how its marketing, trading and distribution activities are developed and integrated with the operations of its parent companies. Its revenue contribution, business scale and financial performance will be assessed once it begins operations and reports its results.
